V1.2 General Terms and Conditions of the TriFact365 Partner Programme
Version 1.2 (July 2026)
1. Commencement, Duration, and Termination of the Agreement
1.1 The Partner Agreement commences on the date on which TriFact365 receives the registration form.
1.2 The Partner Agreement is entered into for an indefinite period. No notice period applies.
1.3 If either party wishes to terminate the agreement, it shall give notice of this by email.
1.4 This expressly does not constitute an employment contract.
2. Registering New Customers
2.1 After the Business Partner has purchased the required TriFact365 subscription (see Article 5.5), the Business Partner will receive a unique partner code from TriFact365.
2.2 As soon as TriFact365 receives a new trial request stating the Business Partner's unique partner code, this customer will be added to the Business Partner Agreement once a paid subscription has been purchased.
2.3 If the Business Partner's unique partner code has inadvertently not been stated with the trial request, the Business Partner has the opportunity, during the trial period, to enter this partner code (or have it entered) in the registered customer's account in the TriFact365 portal.
3. Determination of the Periodic Fee
3.1 For introducing a paid subscription (with the exception of API subscriptions), TriFact365 will pay a fee under the following conditions.
3.2 The fee is based on the revenue that TriFact365 invoices to the customers introduced by the Business Partner.
3.3 The fee is calculated only on the invoiced revenue that has been paid by the introduced customer. If payment is nevertheless made in a subsequent period, the Business Partner will still receive a fee on it.
3.4 The fee is set every six months. In the first year, this fee is 50%. After the first year, the level of the aforementioned fee depends on the Business Partner's performance. 3.5 The calculation of the aforementioned fee is carried out by TriFact365 quarterly in arrears. TriFact365 will then send the Business Partner a self-billing invoice and applies a payment term of 30 days.
4. Amendment of the Agreement
4.1 TriFact365 is entitled to amend the content of the Partner Programme, including these General Terms and Conditions, provided that it announces the intended amendments to the Business Partner. These amendments also apply to existing Partner Agreements.
4.2 Amendments of minor importance may be implemented at any time, without the Business Partner having the right to terminate the Partner Agreement.
4.3 If the Business Partner does not wish to accept an amendment to these terms and conditions, the Business Partner may terminate the Partner Agreement with effect from the date on which the new terms and conditions take effect, at any time before that date. If no notice is received after the date of entry into force, this shall be deemed acceptance of the amended or supplemented terms and conditions.
5. Miscellaneous
5.1 Support is provided by TriFact365. Exceptions to this are more complex questions concerning accounting packages, for which TriFact365 works with specialised third parties.
5.2 Relevant price changes will be communicated to the Business Partner at least 1 month in advance.
5.3 The Business Partner may give shape to its relationship with TriFact365 by setting up a page about TriFact365 on its website. TriFact365 will make official marketing materials (logo, etc.) available for this purpose. Placement of the TriFact365 logo with a click-through link to the TriFact365 website is appreciated.
5.4 The Business Partner will join the following TriFact365 social media channels:

5.4.2 Company page on LinkedIn
5.4.3 Company page on X
5.5 The Partner Agreement is linked to the Business Partner's own subscription with TriFact365 in accordance with the normal subscription terms and conditions. This safeguards the following:
5.5.1 Mutual commitment;
5.5.2 A source of information for keeping up to date with developments at both parties;
5.5.3 Support and sales purposes.
